The proposed SRO is expected to raise approximately ₱9.0 billion through the issuance of common shares to eligible shareholders.
The proposed SRO was approved by the Bank's Board of Directors on August 27, 2026 and will be backed by the Bank's major shareholders, Filinvest Development Corporation (FDC) and FDC Ventures, Inc.
EastWest is the banking arm of the Filinvest Group and one of the country's leading consumer-focused banks. As of June 2026, it had total assets of ₱623.9 billion and one of the largest consumer loan portfolios in the Philippine banking industry, amounting to ₱337.6 billion.
The proposed offering remains subject to regulatory approvals, including those of the Bangko Sentral ng Pilipinas and the Philippine Stock Exchange. Key terms of the transaction, including the final offer size, entitlement ratio, offer price, record date, and timetable, will be determined and announced upon receipt of the necessary approvals.
"This proposed rights offering positions EastWest for its next phase of growth while giving our existing shareholders the opportunity to participate in the Bank's long-term value creation. The additional capital will support continued expansion across our core businesses and enhance our ability to pursue strategic opportunities in a fast-evolving financial landscape, while strengthening our balance sheet " said Jerry G. Proceeds from the offering will be used to support the Bank's strategic growth objectives and future expansion plans, including the scaling up of its wealth and priority banking propositions, investing in transformative digital technologies, as well as funding loan growth across key retail and business segments.
The proposed transaction underscores EastWest's commitment to sustaining growth, enhancing shareholder value, and maintaining a strong capital foundation to support its long-term strategy.
